About the Role
We are seeking a senior expert to strengthen our securitisation department with deep technical capability. The profile can be legal (preferred) or business/structuring; what matters most is hands-on securitisation expertise and the ability to raise the bar on execution quality, documentation rigor, and transaction structuring.
You will act as a reference point on complex transactions, advise internal stakeholders, and help codify best practices in how we structure, document, and manage securitisation mandates.
Key Responsibilities
Act as senior subject-matter expert on securitisation structures, documentation, and transaction lifecycle.
Lead or co-lead structuring of securitisation transactions (onboarding, compartment, issuance, amendments, refinancings).
Draft/review/negotiated transaction documents (e.g., prospectus/offering docs, subscription agreements, servicing agreements, security docs, corporate approvals, notices).
Ensure ongoing compliance with Luxembourg securitisation law and EU Securitisation Regulation.
Provide guidance on true sale vs. security interest considerations, risk retention, credit enhancement mechanisms, and waterfall/priority of payments concepts.
Partner with Compliance, Operations, Finance, and external counsel to ensure consistent interpretation and strong audit trails.
Contribute to internal knowledge base: playbooks, templates, clause library, checklists, and training.
Support review of complex portfolios and events (breaches, substitutions, servicer changes, extraordinary decisions).
Requirements
8+ years’ experience in securitisation / structured finance (law firm, in-house, arranger, trustee, servicer, SPV administrator, or similar).
Deep knowledge of securitisation structures, documentation, and market practice.
If legal background: law degree and strong drafting/negotiation track record.
If business background: proven structuring/execution track record with strong documentation literacy and ability to navigate legal/regulatory constraints.
Strong analytical skills, attention to detail, and ability to simplify complex topics for non-specialists.
Fluent English. French is a strong advantage.
